1. Scope of Practice & Professional Licensing Boundaries
NexvoraHK operates as an independent firm specializing in regulatory advisory, cross-border banking preparation, accounting organization, and corporate restructuring in collaboration with licensed Trust or Company Service Providers (TCSP) across Hong Kong. All services rendered remain fully aligned with statutory dictates established under the Hong Kong Companies Ordinance (Cap. 622) and the Inland Revenue Ordinance (Cap. 112).
We emphasize that ultimate administrative adjudication regarding application processing, banking KYC unfreezing requests, corporate restructuring approvals, and penalty waiver grants rests entirely and independently within the lawful discretionary domain of designated official government registries and respective commercial financial institutions. Our advisory services focus on procedural representation and documentation optimization; we do not offer non-statutory guarantees of independent institutional decisions.
2. Client Obligations & Due Diligence Standards (KYC/AML)
To secure compliance continuity, client representatives agree to fulfill the following operational responsibilities:
- Authenticity of Identity Credentials: Clients are strictly required to supply unmanipulated, complete copies of valid legal identification and current residential utility records. Clients must disclose historical banking interventions or pending regulatory audits upon intake, and remain obligated to report material beneficial ownership adjustments within required reporting frameworks;
- Timeliness of Accounting Documents & Statutory Deadlines: Whether engaging us for statutory tax filings, dormancy processing, or tax dispute mitigation, **all supporting transactional vouchers, statements, and signed corporate authorization notices must be delivered to our attention at least five (5) to eight (8) working days prior to statutory filing deadlines**. 3. Service Fee Allocation & Government Disbursements Policy
Professional engagements are governed by standardized fiscal protocols:
- Non-Refundable Statutory Governmental Disbursements: Any monetary amounts disbursed by our office directly to external government authorities—including **Hong Kong Companies Registry filing assessments, Inland Revenue Department (IRD) Business Registration levies, stamp duties, and mandatory late penalty charges**—are disbursed straight into government ledgers and remain strictly non-refundable once remitted, regardless of ultimate administrative decisions or subsequent client service cancellations;
- Service Retainers and Advisory Fees: Professional fee structures agreed upon for complex procedural undertakings—such as corporate account restoration preparation, forensic bookkeeping repair, and structured dispute defense planning—compensate for specialized professional hours expended upon intake analysis and draft structuring; once preliminary operational work commences, initial retainer amounts remain non-refundable.
4. Limitation of Liability & Indemnification Limits
Our firm accepts zero indemnity or fiscal accountability regarding prior operational liabilities, trailing corporate bookkeeping anomalies, or regulatory infringements occurring prior to our formal retention. In the event of unresolved banking closures, adverse administrative rulings, or commercial contractual litigation stemming from advisory recommendations or representation workflows, NexvoraHK's overall, comprehensive financial liability across any civil, administrative, or breach-of-contract claim shall strictly be limited to and capped at an amount identical to the total professional service fees actually received and cleared by our banking ledgers for the specific contested engagement.
5. Termination & Abandoned Corporate Representation Protocols
If an enterprise client ceases operational communication across twelve consecutive working days while subject to pending statutory regulatory inquiry deadlines, persistently fails to answer official audit requests, or intentionally attempts to misapply our corporate office addresses to host fraudulent, sanctioned, or illicit fund operations, **NexvoraHK retains the non-negotiable statutory right to terminate advisory representation unilaterally, execute emergency administrative statutory resignations from official government records without fiscal refund, and report documented compliance violations to appropriate enforcement authorities**.
6. Governing Law & Exclusive Legal Jurisdiction
These Terms of Service, associated engagement contracts, and any administrative, civil, or commercial disputes arising from or directly connected to professional services rendered by NexvoraHK shall be strictly interpreted, governed, and evaluated under the **Laws of the Hong Kong Special Administrative Region (HKSAR)**. Irrespective of client corporate incorporation jurisdictions or individual residency addresses, any litigation, arbitration, or statutory civil proceeding must be directly filed with and decided exclusively within the competent **Courts of the Hong Kong Special Administrative Region**.
