1. What Are the Two Core Components of a Hong Kong Company Annual Renewal?

2. Progressive Penalty Schedule for Late NAR1 Filing

The Companies Registry imposes a very strict 42-day deadline for submitting the NAR1 (calculated from the company's incorporation anniversary date). Late submissions face punitive progressive fines:

Note: In addition to the fines above, an overdue Business Registration Certificate will incur an IRD penalty of HKD 300, plus accumulating daily interest. If completely ignored for a prolonged period, the directors will directly receive criminal court summonses in Hong Kong.
